Purchasing or holding land involves financial, legal, physical, and operational risks. This notice supports informed research; it is not a recommendation to purchase a parcel or a promise of investment performance.
01Loss and uncertain value
Land values can decline, and a purchaser can lose invested capital. Past sales, asking prices, price-per-acre comparisons, and historic growth do not predict future value. A useful comparison must consider location, access, legal rights, usable area, timing, condition, infrastructure, and transaction terms. An opinion or estimate is not a guaranteed selling price or a substitute for an appraisal appropriate to its intended use.
02Liquidity and exit risk
Land may take substantial time to sell or lease. A buyer may not be available when funds are needed, and a sale may require a discount, marketing expense, concessions, or extended carrying costs. Subdivision and phased sales can face legal, funding, and demand constraints. Do not assume a planned refinancing, resale, exchange, or entitlement exit will occur on schedule.
03Financing and leverage
Land loans may have requirements and terms that differ from improved-property financing. Review rates, down payment, collateral, maturity, balloon obligations, recourse, default remedies, and extension conditions with the lender and advisers. Leverage can increase losses and create obligations beyond initial cash invested. Financing approval, future refinancing, and seller-financing availability are not established by website content.
04Holding costs and cash flow
Vacant land can generate no income while taxes, assessments, association dues, insurance, security, road maintenance, fencing, vegetation control, and debt service continue. Classification changes or a transfer can affect tax treatment. Estimate ongoing expenses, contingency reserves, and the effect of delays. Gross projected revenue is different from net income after costs, vacancies, financing, and taxes.
05Approvals, infrastructure, and feasibility
Zoning, planning designations, nearby development, or a concept drawing do not guarantee an entitlement, permit, subdivision, utility extension, or occupancy approval. Access, service capacity, water, wastewater, topography, soils, habitat, drainage, and required improvements can restrict use or increase costs. Obtain current written information from authorities and qualified professionals; preliminary discussions may not be binding.
06Environmental and property risks
Title exceptions, severed rights, leases, encroachments, unrecorded claims, contamination, flood exposure, wildfire, drought, geotechnical conditions, and other hazards can affect value or impose costs. A vacant appearance or lack of a disclosed problem does not establish absence of risk. Determine the scope and timing of inspections and professional assessments within the contract’s investigation period.
07Projections and scenario assumptions
Budgets, cash-flow scenarios, yield estimates, comparable sales, development concepts, and forecasts depend on assumptions that may not occur. Review source dates, methodology, cost exclusions, absorption, timing, financing, taxes, and sensitivity to adverse changes. No website statement guarantees a return, appreciation, rental demand, public funding, tax benefit, or capital preservation. Seek independent financial, legal, and tax advice.
08Transaction structure and professional roles
Direct ownership, entities, co-ownership, joint ventures, and interests marketed as pooled investments can involve different rights and legal requirements. This website does not establish a securities offering, investment-advisory engagement, suitability assessment, or assurance that an arrangement qualifies for an exemption. Obtain the actual offering or transaction documents and advice appropriate to the structure. Brokerage compensation and conflicts require their own disclosures.
09Decision and nonwaivable duties
Evaluate whether the obligations, potential loss, holding period, and uncertainty fit your circumstances. Do not rely solely on marketing material or invest money required for near-term needs based on an assumed exit. This notice does not waive required disclosures, excuse fraud, or limit mandatory consumer or professional duties. Questions about website statements may be sent to legal@landshiloh.com.
